These terms apply when a firm buys an AI Cube at ai-cubes.com. All prices are plus VAT.
1. Who these terms are between
Wolf AI Labs Limited, company number 16609169 ("Wolf"), and the firm named at checkout (the "Firm").
The person accepting these terms confirms they are authorised to bind the Firm. AI Cubes is sold to businesses only.
2. What the Firm buys
A licence to use one AI Cube instance, the Insolv Cube or the Claims Cube, for the UK postcode areas or claim lanes chosen at checkout (each a "unit"). At most three Cube firms may hold the same postcode area; the first paid setup takes the place.
Every Cube carries all six sides published on ai-cubes.com at the date of purchase. A side marked "In build" is added to the Firm's Cube when it goes live, at no extra charge.
Each postcode territory carries a monthly price of £295. The price is the same in every territory and never changes which sides the Firm receives.
Each Cube is scoped to the Firm at KYI, built to that scope on the AI Cubes platform, and white labelled in the Firm's name. Work outside the agreed KYI scope is only available under a separate written agreement.
3. Fees and payment
Initial payment: a setup fee of £5,000 for each postcode territory held, or £3,500 for each territory where five or more are taken in one order, together with the first month's price of each unit held, plus VAT, paid by Direct Debit through GoCardless or by card through Revolut.
Monthly: £295 for each postcode territory held, collected by Direct Debit through GoCardless from the second month, starting one month from setup.
Wolf takes the Firm's Cube live within 7 to 14 days of the later of the initial payment clearing and the Firm returning its KYI answers. Refunds are set out in clause 4.
Adding or removing units takes effect from the next monthly collection. Each added postcode territory carries its own setup fee at the rate in point 1.
4. Refunds and cancellations
If Wolf does not take the Firm's Cube live within 14 days of the later of the initial payment clearing and the Firm returning its KYI answers, the Firm may cancel and Wolf refunds the whole initial payment, the setup fees and the first month, in full.
The Firm may cancel before Wolf sends the KYI scope, which Wolf sends within 24 hours of the initial payment clearing, and receive a full refund of the initial payment.
Once the KYI scope has been sent and the build has started, the setup fee is not refundable, except under point 1.
Beyond the 14 day period in point 1, any refund is the amount paid less Wolf's accrued build costs, staff time and associated costs to the date of cancellation. Wolf will set out those costs in writing with the refund.
Monthly fees are payable in advance and are not refunded for part months. The Firm may end the licence under clause 5.
If a postcode area is found to be full after payment, Wolf refunds that area's charges in full or, with the Firm's agreement, substitutes an open area.
Refunds are paid to the account or card the payment came from, within 10 working days of being agreed.
To request a refund or cancel, write to admin@occ-uk.com with the Firm's name and order reference.
These terms are for business customers only. Consumer cancellation rights do not apply.
5. Term and ending
The licence runs month to month from go live.
Either party may end it on 90 days' written notice. Part months are not refunded, as set out in clause 4.
If a payment fails or is reversed and remains unpaid 14 days later, Wolf may suspend the Cube until it is paid.
On ending, the Firm may export its data for 90 days, after which Wolf deletes it from the instance.
6. What Wolf is, and is not
Wolf provides software and infrastructure only. Wolf is not an insolvency practitioner, not a claims management company and not regulated by the FCA.
Wolf never gives advice to any SME, director, consumer or Firm client. All advice sits with the Firm or a free advice service.
Any regulated activity carried out using the Cube is carried out by the Firm under its own licence or authorisation. The Firm keeps sole conduct of every matter and every client relationship.
Where an SME raises a hand for help, the SME chooses the firm itself from those shown in its catchment. Wolf does not select, allocate or rank firms by spend, takes no appointment, and charges no fee on any introduction, appointment or outcome.

7. Data
The Firm is the controller of the client data it holds and processes on its instance. Wolf processes that data for the Firm as processor, under data processing terms that form part of this agreement.
Each Firm sees its own data only. No Firm can see another Firm's data or figures.
The Firm's data remains the Firm's.
8. Intellectual property
The Cube, its engines, models, methods and content remain the property of Wolf and its licensors. The Firm receives a licence to use them, not ownership.
CLAIM PASSPORT is a registered UK trade mark, number UK00004346035, used under licence.
9. Confidentiality
Each party keeps the other's confidential information confidential and uses it only for this agreement.
10. Compliance documents
Wolf's compliance assessments are produced against what each regulator requires. They are not regulator approval, endorsement or certification.
11. Liability
Wolf provides the Cube with reasonable skill and care. Uninterrupted availability is not guaranteed.
Wolf is not liable for indirect or consequential loss, lost profits, or lost appointments or fees.
Wolf's total liability in any 12 months is limited to the fees the Firm paid in those 12 months.
Nothing in these terms limits liability that cannot be limited by law.
12. Changes
Wolf may change prices or these terms on 30 days' written notice. A Firm that does not accept a change may end the licence on 30 days' written notice given within that period, before the change applies to it. This is the only exception to the 90 day notice period in clause 5.
13. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
